HedgeWorld Limited and the Bermuda Stock Exchange (BSX) have launched
the HedgeTrust Exchange (HTX), the first secure online trading
facility for existing, non-U.S. domiciled hedge funds.
HTX is a significant industry development because it provides
liquidity for buyers and sellers of hedge funds that are closed
or that have restrictive subscription or redemption periods. Hedge
funds do not have to be listed on the BSX in order for a HTX crossing
to take place between buyer and seller, but hedge fund managers
must consent to the transfer between buyer and seller, where applicable.
Before the advent of the HTX, a hedge fund would normally have to redeem the interests of the selling investor out of the fund's own cash holdings. Assuming that the buyer meets the accredited investor terms of the subscription agreement, HedgeTrust Exchange provides a valuable capital markets service for the hedge fund.
By facilitating the matching of buy and sell orders of offshore hedge funds and the crossing of those hedge fund interests over the Bermuda Stock Exchange (BSX), HTX is providing increased liquidity and choice for the industry. HTX allows accredited investors to indicate expressions of interest to buy or sell a non-U.S. domiciled hedge fund or to place firm buy or sell orders by logging onto www.hedgeworld.com/htx .
After an order is placed, HTX will search and match for a corresponding buy or sell order for that security and will cross the trade on the Bermuda Stock Exchange. Indications of interests, buy and sell orders and actual crosses are all reported in the Market section on an anonymous basis. Buyers and sellers can also express indications of interests and firm orders without reflecting their orders in the Market section. HTX will match and cross these orders on a private and confidential basis.

For the first three months, all normal commissions will be reduced by 50%. Sellers will pay a normal commission of 50 basis points, and buyers will pay a normal commission of 25 basis points on all crosses up to U.S.$5,000,000. Commissions on crosses above U.S.$5,000,000 are negotiable. Commissions do not include BSX and settlement fees.
